We are writing to propose an immediate partnership to act as your exclusive local agent to work on an active Foreign Practice (Tender) opportunity with ERMAS (Egyptian Railways Maintenance & Services Co.). Kindly find a summary of the conditions of the tender as follows:

1. Scope of Supply
   All items are spare parts for GE2300 locomotives and must strictly comply with the specified descriptions, part numbers, quantities, and OEM technical specifications. No deviations are acceptable.
2. Origin of Goods
   Accepted origins are North America or the European Union only.
3. Proof of Origin & OEM Compliance
   The supplier must provide:

• Certificate of Origin confirming country of manufacture
• Manufacturer’s Certificate confirming OEM compliance
• EURO ONE / EUR.1 Certificate for European-origin supplies (if applicable)

1. Payment Terms
   Payment will be made through an irrevocable Letter of Credit (L/C).
   Bank charges inside Egypt are borne by ERMAS; charges outside Egypt are borne by the supplier unless otherwise stated.
2. Delivery Terms & Period

• Delivery term: CIF Alexandria Port, Egypt
• Delivery period: Within 6 months from the date of opening the L/C

1. Warranty
   The supplier shall provide a minimum warranty of 18 months from the date of supply.
   Any defective items must be replaced free of charge, and the replacement items shall carry a new full warranty period.
2. Inspection & Performance Testing
   Inspection will be carried out by ERMAS inspectors at ERMAS warehouses in Egypt.
   ERMAS may withdraw up to 10% of the delivered quantity for performance testing, especially for first-time supplied items.
   If the tested quantity proves unsuitable, the supplier must replace the rejected items and bear all related costs.
3. Shipping & Required Documents
   The shipping document set must include:

• Commercial Invoice
• Packing List
• Bill of Lading
• Certificate of Origin
• Manufacturer’s Certificate (OEM compliance)
• EUR.1 / European Certificate of Origin (if applicable)
• Any additional documents required by Egyptian customs or ERMAS

The supplier must appoint a shipping agent capable of granting 21 days free time for customs clearance.

1. Pricing Conditions
   Prices must be net, excluding all Egyptian taxes and stamp duties.
   Prices must be stated per item and submitted on the official tender form, which must be signed and stamped.
2. Provisional Deposit

• Up to 20 items: USD 6,250
• More than 20 items: USD 10,000 (or equivalent in EGP)

1. Performance Guarantee
   A performance guarantee of 5% of the total contract value must be submitted via a Letter of Guarantee.
   It will be released 3 months after the end of the warranty period.
2. Offer Validity
   Offers must be valid and irrevocable for 90 days from the last date of tender submission.
3. Quantity Variation
   ERMAS reserves the right to increase or decrease contract quantities by up to ±30% at the same unit prices and conditions.
4. Local Agent Requirement
   Offers must be submitted through an approved local agent in Egypt, in accordance with Egyptian law, with a valid registration certificate.
5. ERMAS Rights
   ERMAS reserves the right to accept or reject any offer, or cancel the tender partially or fully, without any obligation for compensation.
