Definitions

 

“Banking days”, “Working days” and “Business days” are days on which Banks are open in London, New York or Singapore.

“in writing” or “written” means a letter handed over from the Sellers to the Buyers(or their authorized representatives) or Vice Versa, a registered letter, telex, telefax or other modern form of written communication.

“Classification Society´or “Class” means the Vessel’s Classification Society

 

  1. PRICE

  1. DEPOSIT

As a security for the correct fulfillment of this contract, the Buyers shall remit a deposit of 30% (Thirty percent) being USD………. (United States Dollars ………….   1. PAYMENT                                                                    

In exchange for documents as per clause 12, Buyers to release deposit and remit the balance of the purchase money, for a total balance payment of USD …………. (United States Dollars …………) to Sellers’ nominated bank account as per Clause 2, within 2 (two)  banking days from tendering the Notice of Readiness as per Clause 6, at Sellers’ designated outer anchorage.

 

Closing to take place in London, at which time buyers to release the purchase price against exchange of all documents as per clause 12.

 

In the event the beneficiary of the deposit or the Balance payment is not the registered owner of the vessel as per the MOA, then Sellers to provide letter to Buyers  confirming the authority of the said beneficiary of the deposit or the Balance payment to receive those monies.

 

  1. INSPECTIONS/ CONDITIONS

The vessel has been accepted by the Buyers without inspection. The sale is therefore outright, subject only to the terms and conditions of this M.O.A.

 

  1. PLACE AND TIME OF DELIVERY

The vessel shall be delivered strictly as is and taken over at sellers’ designated outer anchorage -----. Expected time of delivery between --------------and-------------------- in Sellers’ option. Date of canceling ------------, 2012 in Buyer’s option. The Sellers shall keep the Buyers well posted about the vessel’s itinerary and estimated time of delivery and give them  2 days approximate and 1 day definite notice for delivery.

 

  1. NOTICE OF READINESS (NOR)

The vessel shall be deemed ready for delivery at place of delivery upon arrival of the vessel, after the vessel is ready in all respects for physical delivery as per this agreement when the Seller’s agent tenders the Notice of Readiness to the Buyer / Buyers agent / nominated representative at the port of delivery by written notice, e-mail, telex, or telefax. Notice of Readiness to be tendered any time day and night, Fridays, Saturdays, Sundays, local and national holidays included.

The Sellers/ Sellers’ Agent shall accompany Notice of Readiness along with Certificate confirming the LDT of the vessel is ________ Metric tons as per lightweight evidence mentioned herebelow showing vessel’s lightweight in addition to present and ex names.

 

  1. DELAYS/ CANCELING

Should the Sellers feel that the vessel will not be ready to tender the Notice of Readiness for delivery in accordance with the condition of this Agreement, then within 48 hours of Sellers notifying such position to Buyers in writing the Buyers shall immediately declare whether they will maintain or cancel this Agreement. 

 

If the Buyers elect to cancel this Agreement, the advance money shall be immediately returned to Buyers. If the Buyers fail to declare their position in writing within 48 hours of such notification then the Sellers shall automatically understand that the Buyers have no objection to the canceling date of the vessel being extended, in which case all other terms and conditions of the Agreement shall remain in full force and effect.

 

  1. ENCUMBRANCES

The Sellers warrant that the vessel, at the time of physical and legal delivery is free from all encumbrances and maritime liens or any other debts whatsoever. Should any claims, which have been incurred prior to the time of delivery, be made against the vessel, the Sellers hereby undertake to indemnify the Buyers against all consequences of such claims.

                                   

  1. TAXES

Any taxes, fees, and expenses connected with the purchase and registration under the Buyers flag shall be for the Buyers’ account whereas similar charges connected with the closing of the Sellers’ register shall be for the Sellers’ account.

 

  1. CONDITION ON DELIVERY

The vessel shall be delivered strictly as she is at time of physical delivery, and taken over under her own power, safely afloat, substantially intact, without removals except as listed in attached exclusion list, free from fire damage and  free of cargo. The vessel with everything belonging to her on board, shall be at the Sellers’ risk and expense until she is delivered to the Buyers, but subject to the conditions of this contract.

 

  1. A-SPARES/BUNKERS.

The Sellers shall deliver the vessel to the Buyers with everything belonging to her on board at the time of delivery, except for items listed in attached exclusion list. All spare parts and spare equipment on board the vessel used or unused, shall become Buyers’ property. Spares on order are to be excluded.

 

The Buyers shall take over and pay for any remaining bunkers, unused lubricating oils at the place of delivery of the vessel.

 

Buyers to pay extra for remaining bunkers and lubes at Sellers delivered cost, which to be evidenced by invoices/ vouchers or hire invoices. In case invoices/ vouchers or hire invoices are not available then prices to be paid at Platts prices prevailing at the port of delivery one (1) working day before vessel's delivery to the Buyers. Also Buyers to pay extra for vessel's unused Cylinder/ System/ Hydraulic lubrication oils that have not passed through vessel's system in designated storage tanks and sealed drums/pails at Seller's last prices evidenced by invoices/ vouchers. Payment under this clause shall be made at the same time and place and in the same currency as the Purchase Price.

 

The Vessel does not have a spare anchor, or a spare tail-end shaft, or a spare propeller.

 

11.B-EXCLUSIONS/REMOVALS:

Excluded from this sale are personal effects of Master, Officers and Crew including slop chest, log books, holy icons, ISM manuals, original certificates which must be surrendered to authorities and hired or third party's items, which shall be taken ashore by the Sellers without compensation, upon or before delivery of the Vessel.

 

Notwithstanding the above the following items to be excluded from the Sale without compensation(per attached exclusion list).

 

  1. DOCUMENTS

In exchange for payment of the purchase price, the Sellers shall furnish the Buyers following documents at Closing:

 

 a)  Legal Bill of Sale in favor of the Buyers certifying that the vessel is free from all encumbrances, mortgages, maritime liens and any other debts whatsoever duly signed by Sellers or their duly appointed Attorney and dated.  The full name and designation of the signatory to the Bill of Sale to be clearly specified on the Bill of Sale.  And Bill of Sale to be notarized and apostilled.

 

 b)  Signed commercial invoice in duplicate certifying the details of the vessel and the purchase price as per this MOA.

 

  c)  Original Certificate of Ownership and Non-encumbrances or Transcript from the vessel’s current Registry showing Sellers as the owners and that there are no mortgages, maritime liens, debts, taxes, etc. whatsoever registered on the vessel. This certificate must not be dated more than 3 (three) days prior to vessel’s delivery, and may be delivered at Closing. This certificate must not reference any mortgages, maritime liens, debts whatsoever on the vessel.

 

      Sellers undertake to courier the original of this certificate directly to the Buyers nominated address on the date of issuance. Sellers to fax or email a copy of the certificate along with the airway bill to the Buyers upon receipt.

 

 d) Letter of Undertaking from the Sellers stating that immediately after the purchase price has been received in full, they will direct  the Master of the vessel to deliver the said vessel to the Buyer’s representative on condition as she is safely afloat, port worthy, virtually intact, free of fire damage, free of damage, free of arms and ammunitions, free of hull leakages, free of cargo, charter free.

 

  e) Letter of undertaking from the Sellers guaranteeing that they will submit to the Buyers a deletion certificate from the authorities of the vessel’s Registry as soon as possible but not later than 30 days from the date of delivery.

 

  f)  Protocol of Delivery and Acceptance of the vessel, which shall be signed after full payment of the vessel, has been effected.

 

 g) Board of Directors minutes approving the sale, duly signed, notarized and  apostilled.

 

  h) Power of Attorney authorizing Seller’s representatives to act on their behalf including signing delivery documents and accepting payment of the purchase price, duly signed, notarized and apostilled.

 

  i)  Copy of vessel’s Certificate of Registry.

 

All documents to be in English language or a certified and notarized English translation to accompany the original document.  Draft copies of documents a, g and h above to be sent to Buyers by fax or email prior to closing for comments. Additionally the Sellers shall, at the time of delivery, hand to the Buyers all ship documentation available at time of delivery as well as all plans etc. which are onboard or ashore in owner’s possession, except a) Registry Certificate, b) Radio License Certificate, c) Safe Manning Certificate, d) ISPS Certificate, e) SMC, f) CSR booklet and any other document which is required by Bahamas  Registry for deletion of the vessel or which is required to be returned by Sellers to issuing authority, however Buyers have right to take copies of the same.

 

Additionally, Buyers to provide the following documents to Sellers at Closing in original, certified form:

  1. Board of Directors minutes approving the purchase of the vessel, duly signed, notarized and apostilled.

 

  1. Power of Attorney authorizing Buyers’ representative to act on their behalf including signing of delivery documents and ordering payment of the purchase price,.duly signed, notarized and apostilled.

 

  1. Good-standing Certificate of Buyers’ Company.

 

Draft copies of above Buyers’ documents to be sent to Sellers by fax or email prior to closing for comments.

  1. TOTAL/ CONSTRUCTIVE TOTAL LOSS

Should the vessel become total or constructive total loss before delivery, this contract shall be considered null and void and the deposit immediately returned to the Buyers. Should the vessel suffer substantial partial damage due to any reason before delivery the Buyers will have the option to cancel this agreement or ask for appropriate reduction in the purchase price.

 

  1. FORCE MAJEURE

If the Sellers are not able to transfer title of the vessel or the Buyers shall be unable to accept transfer of the vessel both in accordance with this contract due to outbreak of war in Bangladesh or restraints of Government and local authorities, or Act of God, princes or people of any nation or United Nations, military operations, epidemics, or any other event over which neither Buyers nor Sellers have any control or if the vessel should become an actual or constructive total loss, then either the Sellers or the Buyers may terminate the contract upon written or fax notice from one party to the other without any liability upon either party hereunder.  The deposit referred to in Clause 2 hereof if delivered to the Sellers shall be released to the Buyers forthwith and the Agreement shall thereupon be null and void.

 

  1. BUYERS DEFAULT

Should the deposit not be paid as aforesaid the Sellers have the right to cancel this contract, in which case any amount already paid by the Buyers may be retained by the Sellers. If the said amounts do not cover the Sellers’ proven losses, they shall be entitled to claim further compensation for their proven losses and for all proven expenses together with interest at the rate of 12% per annum.

 

  1. SELLERS DEFAULT

If the Sellers fail to execute a legal transfer or to deliver the vessel with everything belonging to her in the manner and within the time specified in accordance with this MOA, the Buyers shall have the right to cancel this contract in which case any amounts already paid to or on behalf of the Sellers in full shall be returned to the Buyers together with interest at the rate of 12% per annum. The Sellers shall make due compensation for the proven losses together with interest at a rate of 12% per annum as caused to the Buyers by failure to execute a legal transfer or to deliver the vessel in the manner and within the time specified in clause 5.

 

  1. ARBITRATION

If any dispute should arise in connection with the interpretation in fulfillment of this contract, same shall be decided by arbitration in the City of London with English law to apply and shall be referred to a single Arbitrator to be appointed by the parties hereto. If the parties cannot agree on the appointment of the single Arbitrator, the dispute shall be settled by three Arbitrators, each party appointing one Arbitrator, and the third being appointed by London Maritime Arbitrators Association if either of the appointed Arbitrators refuses or is incapable of acting, the party who appointed him shall appoint a new arbitrator in his place. 

 

If one party fails to appoint an arbitrator -either originally or by way of substitution for- two weeks after the other party having appointed his Arbitrator, has sent the party making default notice by mail, cable, or telex to make the appointment, London Maritime Arbitrators Association shall, after application from the party having appointed his Arbitrator, also appoint an Arbitrator on behalf of the party making default.

 

The award rendered by the Arbitration Court shall be final and binding upon the parties and may if necessary be enforced by the Court or any other competent Authority in the same manner as a Judgment in the Court of Justice.  The Arbitrators to state in writing the reasons for their award. All arbitrators to be members of the London Maritime Arbitrators Association

 

  1. BUYERS REPRESENTATIVES

The Sellers agree to allow the Buyers or their nominated representatives up to a maximum of 3 persons in number to stay on board the vessel at Buyer’s risk and expenses on delivery of vessel at Sellers’ designated Outer anchorage Singapore for familiarization and planning purposes only. Such persons should not interfere and disrupt in the duties of the crew and should upon request of the master sign Letter of Indemnity.

 

  1. COSTS 

The Vessel is to be delivered at Outer Anchorage ------.  Vessel expenses up until delivery to Buyers as well as expenses in connection with repatriation of all crew members to be for Sellers’ account. Any dues or expenses due or payable for inward clearance, customs clearance, rummaging, port dues, harbor dues, agency fees, local tug assistance, pilotage, security protection as well as any dues or taxes which will be incurred by the Vessel including import duty, beaching, after physical delivery to the Buyers, to be for Buyers’ account.

 

  1. PROTOCOL OF DELIVERY AND ACCEPTANCE

The Protocol of Physical Delivery and Acceptance will be signed by (i) the Master, on behalf of the Sellers, and (ii) Buyers authorized representative immediately after payment / receipt of the full purchase price to / by the Sellers.

 

 

 

  1. CONFIDENTIALITY

THE PRICE, TERMS AND CONDITIONS OF THE SALE TO BE KEPT STRICTLY PRIVATE AND CONFIDENTIAL BY ALL PARTIES CONCERNED EXCEPT FOR SUCH DISCLOSURE AS REQUIRED TO COMPLY WITH ANY LAW, ORDER OR PROCESS BINDING ON THE PARTIES AND/OR SEC REGULATION. SHOULD HOWEVER THE DETAILS OF THE SALE BECOME KNOWN OR REPORTED ON THE MARKET NEITHER THE BUYERS NOR THE SELLERS SHALL HAVE THE RIGHT TO WITHDRAW FROM THE SALE OR TO FAIL TO FULFILL THEIR OBLIGATIONS UNDER THE MOA.
